TERMS AND CONDITIONS OF USE OF THE WEBSITE

The website accessible at https://www.agenz.ma, as well as the mobile applications published under the names AGENZ and AGENZ PRO (hereinafter referred to as the “Platform”), are operated by the company AGENZ, a public limited company (Société Anonyme) under Moroccan law, with a share capital of 452,900 dirhams, registered with the Casablanca Trade Register under number 470711, having its registered office at 46 Boulevard Zerktouni, Casablanca (hereinafter the “Company”).

These Terms and Conditions of Use (hereinafter the “T.C.U”) aim to define the terms and conditions governing the registration and access of Users to the Platform as well as to the associated Services provided by the Company.

The Company may modify these T.C.U at any time in order to take into account any legal, regulatory, case-law or technical developments. Every User is therefore required to refer to the version available online on the date of access and use of the Services.

The User is expressly informed that the only binding version of these T.C.U is the one available online on the Website, which the User acknowledges and accepts without restriction, undertaking to refer to it systematically upon each access to the Platform.

Accordingly, by accessing or using the Platform, you declare that you have read, understood and accepted, without reservation, the entirety of these T.C.U. You therefore agree to comply with these T.C.U as well as with any other applicable law or regulation.

In the event of non-acceptance of these T.C.U, the User must refrain from accessing the Services offered.

2. DEFINITIONS

“Advertisement”: Any real-estate advertisement for sale or for rent added to the Site by AGENZ or by partner real-estate professionals.

“Sold Properties”: Information concerning real-estate properties sold either by AGENZ or by a partner real-estate professional acting as intermediary. A property shall be deemed “sold” from the moment a preliminary sales agreement or promise of sale has been signed.

User Account”: Refers to the interface hosted on the Website in which all data provided by the User are gathered. This account enables the User to manage his or her activities and to access the Platform’s functionalities. Access to the User Account is achieved through the credentials supplied during registration.

Terms and Conditions of Use” or “T.C.U.”: Refers to these general conditions made available to every User on the home page of the Platform.

Terms and Conditions of Sale” or “T.C.S.”: Refers to the general conditions established by the Company governing the sale of Services on the Platform. They are accessible at: https://agenz.ma/fr/conditions-d-utilisation#politique-de-confidentialite

Personal Data” or “Personal Information”: Any information relating to an identified or identifiable natural person; an “identifiable natural person” is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier, or to one or more factors specific to his or her physical, physiological, genetic, mental, economic, cultural, or social identity.

Privacy Policy”: Refers to the document describing in detail AGENZ’s practices concerning the collection, use, and protection of personal data.

“Partner”: Any real-estate professional partnered with the Site.

“Real-Estate Professional” or “Professional User”: Real-estate agent, broker, or any professional user of the Services duly approved by AGENZ.

“Partner Real-Estate Professional”: Real-estate agent, broker, or any professional using the Services, whether free of charge or for consideration, having opened a professional account on the Platform.

“Services”: All services offered by AGENZ.

“Website”: Refers to the AGENZ website accessible at the address https://www.agenz.ma.

Platform”: Refers to all technical resources implemented by the Company allowing Users to access the Services, including in particular the Website, the mobile applications published by the Company, the APIs, and any dedicated space made available to professionals (for example: the Pro Space).

“User(s)”: Any person browsing on the Website or on the mobile applications published by AGENZ.

Individual User”: Any natural person using the Website as a private individual, for the purpose of accessing real-estate information, estimating a property, viewing advertisements, or contacting real-estate professionals via the Website.

Processing”: Refers to any operation or set of operations performed upon personal data or sets of personal data, whether or not by automated means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure, or destruction.

“Showcase”: A space published on the Website that briefly presents the agency or establishment of the real-estate professional.

3. DESCRIPTION OF THE SITE

The purpose of the Site is to present all the services offered by AGENZ and its partners, as well as the associated benefits.

It constitutes a real-estate platform providing two categories of content.

3.1 Content Intended for Individuals

The Site provides individual Users with various tools and information services to assist them in their real-estate projects, in particular:

The online valuation of their real-estate property (main residence, secondary residence, land, etc.);

The consultation of an interactive map of real-estate prices by district or geographical area;

Access to listings of properties for sale and for rent;

Connection with a real-estate agent, either directly with AGENZ agents or, where applicable, with partner professionals referenced on the Platform.

3.2 Content Intended for Professionals (“Pro Space”)

The Site also includes a section specifically dedicated to real-estate professionals. This space offers:

Advisory and decision-support tools;

Features for tracking, managing advertisements, and maintaining client relationships;

APIs and technological services developed and exclusively owned by AGENZ.

These tools allow professionals to optimize their activities, better showcase their properties, and monitor their transactions effectively and transparently.

3.3 Content Evolution

The content offered by AGENZ is constantly evolving. The Company reserves the right to add, modify, or remove any or all functionalities of the Site without prior notice and without affecting any contractual conditions already concluded with certain Users.

3.4 Responsibility and Limitations

AGENZ strives to provide reliable and regularly updated information. However:

The data and estimates provided are for indicative purposes only and do not constitute any contractual guarantee or firm offer;

The User acknowledges that the Site’s activity is limited to facilitating access to real-estate information, assisting Users in their procedures, and connecting them with real-estate agents (including AGENZ agents);

The Company cannot be held liable for any relationships, discussions, or agreements entered directly between Users and real-estate professionals (whether AGENZ agents or external partners).

4. REGISTRATION AND ACCOUNT

4.1 Age Requirement

You may not register on the Site if you are under 18 years of age, in accordance with applicable provisions. By using the Site or by accepting these Terms and Conditions of Use, you represent that you are at least 18 years old.

4.2 Account Creation

If you register to create a User Account on the Site, you will be required to provide an email address, a username, and a password, and you agree to:
4.2.1 keep your password confidential;
4.2.2 immediately notify us in writing at contact@agenz.ma if you become aware that your password has been disclosed;
4.2.3 be responsible for any activity on the Site resulting from a failure to maintain the confidentiality of your password, and you may be held liable for any loss resulting from such failure.

4.3 Personal Use of the Account

Your account must be used exclusively by you, and you may under no circumstances transfer your account to any third party. If you authorize a third party to manage your account on your behalf, you do so entirely at your own risk.

4.4 Suspension or Cancellation

We may suspend or cancel your account and/or modify your account details at any time, at our sole discretion and without notice or explanation. However, if we cancel services that you have already paid for but not yet received, and you have not breached these Terms and Conditions of Use, we undertake to refund the amount you have paid.

4.5 Deregistration

You may, at any time, unsubscribe and delete your account from the Site by contacting us at contact@agenz.ma.

5. OUR RIGHTS TO USE YOUR CONTENT

5.1 License to Use

You grant us a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, store, adapt, publish, translate, and distribute your content on the AGENZ Platform and through our marketing channels and any existing or future media.

5.2 Sub-License

You grant us the right to sub-license the rights granted under Article 9.1.

5.4 Moral Rights

You hereby waive all your moral rights in your content to the extent permitted by applicable law and warrant that all moral rights relating to your content have been lawfully waived.

5.5 Content Removal

Without prejudice to any other rights we may have, if we suspect that your content infringes these Terms and Conditions of Use, we may delete, modify, or suspend its publication.

6. USE OF THE WEBSITE AND MOBILE APPLICATIONS

6.1 Definition

In this section, the term “Platform” includes the website www.agenz.ma and the mobile applications published by AGENZ.

6.2 Authorized Uses

You may:
6.2.1 view the web pages of the Site in a web browser;
6.2.2 download the web pages of the Site for caching purposes in a web browser;
6.2.3 print pages of the Site for your personal and non-commercial use, provided such printing is not excessive;
6.2.4 use the Platform’s services through an internet browser, subject to compliance with these Terms and Conditions of Use.

6.3 Prohibitions

Except as expressly permitted by section 6.2 or by other provisions of these Terms and Conditions of Use, you must not download, copy, or store any element of the website on your device.

6.4 Purpose of Use

You may only use the Platform for personal or professional purposes that are strictly related to the purpose of the website www.agenz.ma.

7. NOTIFICATION AND REMOVAL OF UNLAWFUL CONTENT

AGENZ informs you of the possibility of submitting a claim regarding any elements or content on the Site. Consequently, if you believe that any elements or content of the Site are unlawful and/or infringe your intellectual or industrial property rights, you must send a notification to AGENZ addressed to: AGENZ, Legal Department, 46 Boulevard Zerktouni, Casablanca, or by email to contact@agenz.ma, including all supporting documents evidencing ownership of the rights, where applicable.

After verification, and if the request is justified, AGENZ will make reasonable efforts to remove the unlawful content as promptly as possible. It is specified that AGENZ acts solely as an intermediary in the provision of its services to the User. As such, AGENZ cannot incur criminal liability for information stored on the Site unless it has actual knowledge of unlawful activity or information or, upon obtaining such knowledge, fails to promptly remove or disable access to the infringing content.

8. DISCLAIMER

AGENZ aims to present to individuals, without being exhaustive, various useful information and partners related to the sale or acquisition of real-estate properties. Nevertheless, since AGENZ cannot be aware of every real-estate project or of all its partners, it is the responsibility of the individual to conduct all necessary or appropriate verifications before contacting any of the real-estate professionals referenced on the Site.

AGENZ cannot guarantee the accuracy of information published on the virtual showcases of real-estate professionals. Consequently, any connection established with a real-estate professional, a real-estate developer, or more generally with any third party through our Site is made under your sole responsibility and without any guarantee from us as to the quality or satisfaction of the services provided.

9. ACCESS AND SECURITY

The subscription, access, or use of certain Services on the Site, particularly within member areas, may require the opening of a User account involving the provision of a username and the selection of a password, in accordance with the recommendations of the CNDP in this regard.

The password is personal and confidential. The User is solely responsible for it. The User undertakes not to disclose it to third parties and to take all necessary precautions to prevent unauthorized access.

The User undertakes to notify AGENZ immediately in the event of loss or theft of the password. In the absence of such notification, and unless proven otherwise, any connection or transmission of orders or data made using the password shall be deemed to originate from the User and under his or her exclusive responsibility.

The User may, at any time, request the cancellation of his or her account by sending an email to contact@agenz.ma.

This article shall apply without prejudice to any supplementary contractual provisions, particularly those governing the use of the Site by minors.

10. VIRUSES, HACKING, AND OTHER CYBERATTACKS

You must not misuse this Website by intentionally introducing viruses, Trojan horses, worms, logic bombs, or any other program or material that is technologically harmful or malicious.

You must not attempt to gain unauthorized access to this Website, the server on which it is hosted, or any server, computer, or database connected to our Website. You must not attack this Website through a denial-of-service attack or a distributed denial-of-service attack.

Failure to comply with this clause shall constitute a criminal offense under applicable law. We will report any such breach to the competent authorities and cooperate with them to identify the perpetrator. In the event of a breach of this clause, your right to use this Website shall immediately cease.

We shall not be liable for any damage or harm resulting from a denial-of-service attack, virus, or any other technologically harmful or malicious software or material that may affect your computer, equipment, data, or materials due to your use of this Website or the downloading of content from it or from any linked website.

11. INTELLECTUAL PROPERTY – UNFAIR COMPETITION – RESTRICTION ON DATA USE – PROTECTION OF THE SITE AND DATABASES

It is hereby expressly stated that all data and information available or freely accessible on the Site are intended for private individuals, natural persons, directly connected to the Site for their strictly personal use. Any other use is prohibited.

In particular, any professional or commercial use and any use exceeding the needs of an average User are strictly forbidden. Consequently, the User declares not to be a professional and not to obtain or use the data and information available on the Site for professional, commercial, or other gainful purposes.

AGENZ will remain particularly vigilant and will take all appropriate action against any extraction, reproduction, or reuse of Site content performed in violation of intellectual property rights, the law, or the Site’s general conditions.

The names, images, logos, and any other distinctive signs appearing on the Site that identify AGENZ and/or its partners or third parties, as well as their products and services, are protected under trademark law, design and model law, and/or copyright law.

The general structure, editorial content, images, sounds, videos or multimedia, software, databases, and all other content displayed on the Site are protected by copyright, neighboring rights, and/or the sui generis rights of the database producer, and more generally, by civil liability law.

AGENZ is the sole holder of the above-mentioned intellectual property rights over all content displayed on the Site.

Any use of the information, data, or elements of the Site, for any purpose other than direct on-site consultation by the User, is strictly prohibited unless prior written authorization has been granted by AGENZ.

Under no circumstances may access to the Site’s information or data be construed as authorizing the User to extract, substantially or otherwise, or use outside the scope of Site consultation, any data or elements from the Site.

Such extraction or use is strictly prohibited.

Any reproduction or representation, in whole or in part, of the distinctive signs or content presented on the Site—including information and/or data—without prior written authorization from AGENZ, its partners, or third parties, is strictly prohibited.

Such acts constitute infringement and may give rise to both civil and criminal liability for the perpetrator.

12. PRIVACY POLICY

Protection of Personal Data

As a preliminary point, it is recalled that the showcases of real-estate professionals, the presentation of their teams where applicable, their listings, and their sold properties are published under their own responsibility.

Pursuant to Law No. 09-08 relating to the protection of individuals with respect to the processing of personal data and the Internal Regulations of the CNDP, AGENZ informs the User of its commitment to respect the confidentiality, integrity, and security of the data communicated by the User through the Site.

Any personal data directly identifying you (including your name, surname, postal, electronic, or telephone contact details) or indirectly identifying you (including your digital traces resulting from navigation on the Site) are considered confidential and are treated as such.

At AGENZ, the security and confidentiality of our Users’ data are our top priority. We apply rigorous standards to ensure the protection of sensitive information, including Google user data, in accordance with regulatory requirements and industry best practices.

13. ENTIRE AGREEMENT

13.1 Use of Cookies

These general conditions, along with the codes, policies, and guidelines of AGENZ applicable on our Platform (and, concerning sellers or real-estate professionals, the professional-specific general conditions), constitute the entire agreement between you and us regarding your use of our Platform and supersede any prior agreements between you and us relating to your use of our Platform.

Cookies are used to enhance the browsing experience, analyze site performance, and ensure functionality, in accordance with our Privacy and Cookie Policies.

14. MODIFICATION

14.1 General Provisions

We may revise these general conditions, the professional terms and conditions, and the codes, policies, and guidelines of AGENZ from time to time.

14.2 Effectiveness of Revisions

The revised general conditions shall apply as of the date of their publication on our Platform.

We reserve the right to revise and modify these Terms at any time. Such revisions are subject to the policies and Terms in force at the time you use this Website or place an order, except where the law or government entities require us to make retroactive modifications to such policies, Terms, or Privacy Policy.

In that case, the modifications will also apply to previous orders you have placed.

15. WAIVER

No waiver of a breach of any provision of these general conditions shall be construed as a further or continuing waiver of such breach or as a waiver of any other breach of any other provision of these general conditions.

The failure of AGENZ to enforce any provision of these Terms at any given time shall not be interpreted as a waiver of the right to enforce that same provision in the future.

16. SEVERABILITY

16.1 Partial Invalidity

If any provision of these general conditions is found by a court or other competent authority to be illegal and/or unenforceable, the remaining provisions shall remain in full force and effect.

16.2 Partial Removal

If an illegal and/or unenforceable provision of these general conditions would become lawful or enforceable if part of it were deleted, that part shall be deemed deleted, and the rest of the provision shall continue to be effective and remain enforceable.

17. ASSIGNMENT

17.1 Assignment by the Company

You hereby agree that we may assign, transfer, subcontract, or otherwise deal with our rights and/or obligations under these general conditions.

17.2 Restriction on the User

You may not, without our prior written consent, assign, transfer, subcontract, or otherwise deal with your rights and/or obligations under these general conditions.

18. THIRD-PARTY RIGHTS

18.1 Benefit of the Contract

A contract entered into under these general conditions is for our benefit and for your benefit, and is not intended to benefit any third party or be enforceable by any third party.

19. Electronic Signature Service “Agenz Sign”

19.1. Nature and Scope of the Service

The “Agenz Sign” service is a simple electronic signature service provided by AGENZ, within the meaning of Law No. 43-20 relating to trust services for electronic transactions.

The service allows an electronic document to be associated with proof of approval expressed by an identified signatory through a secure process, without the issuance of electronic certificates or the use of advanced or qualified electronic signature mechanisms.

The service is exclusively intended for signing documents that do not require a high level of assurance, in particular standard contractual documents related to real estate activities.

Documents subject to enhanced legal or regulatory requirements, such as notarized deeds or any equivalent documents, are expressly excluded from the scope of the service.

19.2. Electronic Signature Process

The electronic signature process via the “Agenz Sign” service is based on the following steps:

  • Making the electronic document available to the signatory through a secure link.
  • Prior review of the document by the signatory.
  • Expression of the intention to sign by affixing an electronic handwritten signature.
  • Validation of the signature by entering a one-time password (OTP) sent to the signatory via an independent communication channel (SMS or WhatsApp).

Validation of the OTP results in the application of the simple electronic signature to the document and the completion of the signing process.

19.3. Signatory Identification and Obligations

The signatory acknowledges that identification within the service is based on the information declared by the signatory, in particular their identity and telephone number.

The signatory undertakes to:

  • provide accurate, complete, and up-to-date information;
  • keep the means of receiving the OTP confidential;
  • not disclose the OTP to any third party.

Any use of the OTP is presumed to be made by the signatory, unless proven otherwise.

19.4. Security and Technical Measures

The service provider implements technical and organizational measures intended to ensure a level of security consistent with the requirements applicable to simple electronic signature services, including in particular:

  • securing communications through encryption protocols;
  • mechanisms to limit validation attempts;
  • logging and traceability of operations;
  • retention of evidence related to the signature process.

The service provider does not guarantee a level of security equivalent to that of an advanced or qualified electronic signature.

19.5. Notification and Dispute

At the end of the signing process, the signatory receives an electronic confirmation notification.

This notification includes an alert message inviting the signatory to report without delay any signature that was not initiated by them.

Any dispute relating to a signature must be submitted as soon as possible to the service provider, in accordance with the procedures set out in these General Terms of Use.

19.6. Retention of Documents and Evidence

The service provider retains signed documents and associated evidence for a period compatible with the needs of the service and applicable legal requirements.

Protective measures are implemented to prevent any unauthorized alteration or deletion of documents and evidence.

19.7. Liability and Service Limitations

The “Agenz Sign” service constitutes a technical means for collecting the signatory’s consent.

The service provider performs no verification regarding:

  • the legal capacity of the parties;
  • the intrinsic legal validity of the signed documents;
  • the suitability of the document for a regulated use.

The service provider shall not be held liable for any use of the service for documents exceeding the scope of a simple electronic signature.

19.8. Personal Data Protection

Personal data processed in connection with the “Agenz Sign” service is handled in compliance with Law No. 09-08 relating to the protection of personal data.

Details regarding processing methods, purposes, and the rights of data subjects are set out in the privacy policy available on the service provider’s website.

19.9. Suspension, Interruption, and Termination of the Service

The service provider reserves the right to suspend or temporarily interrupt access to the service for technical, security, or maintenance reasons.

In the event of permanent termination of the service, users will be informed within a reasonable timeframe, and evidence will be retained in accordance with applicable legal requirements.

19.10. Governing Law and Jurisdiction

These provisions relating to the “Agenz Sign” service are governed by Moroccan law.

Any dispute relating to the use of the service falls under the exclusive jurisdiction of the competent Moroccan courts.

20. APPLICABLE LAW AND JURISDICTION

20.1 Applicable Law

These general conditions shall be governed by and construed in accordance with Moroccan law.

The use of our Website and the contracts for the purchase of products and services through this Website are governed by Moroccan law. Any dispute relating to the use of this Website or to such contracts shall be subject to the exclusive jurisdiction of the Moroccan courts.

20.2 Competent Jurisdiction

Any dispute arising out of or in connection with these general conditions shall fall under the exclusive jurisdiction of the competent courts of Morocco.

21.3 Electronic Notices

You consent to receive electronic notices from us. We may provide all communications and information relating to your use of the Platform in electronic form, either by publishing them on our website or application or by email sent to the address associated with your account.

All such communications shall be deemed written notices, duly delivered and received by you.

PROTECTION OF SENSITIVE DATA

1. Security Measures

We implement organizational, technical, and physical security measures to protect your data against any unauthorized access, disclosure, alteration, or destruction. Access to sensitive data is strictly limited to authorized employees or service providers who require such information to deliver our services.

2. Data Encryption

All sensitive data, including Google Calendar data, is encrypted using advanced cryptographic protocols (such as TLS and AES) during transmission and storage. Encryption ensures that your data remains unreadable in the event of unauthorized access.

3. Access Controls

We have implemented role-based access controls and secure authentication mechanisms to ensure that only authorized individuals can access sensitive data.

4. Regular Audits and Testing

We conduct regular security audits and vulnerability tests to identify and remediate any potential risks.

5. Backup and Disaster Recovery

Commitment to the Confidentiality of Google Data

We are committed to complying with Google’s privacy and security requirements regarding Google Calendar user data. We will never use your data for unauthorized purposes, nor will we share your information without your explicit consent, except where required by law.

6.1. Processing of Data Relating to the Services

6.1.1 Processing

The subscription, access to, and/or use of certain Services entails the processing of personal data, which you hereby acknowledge and accept.
The controller of the Users’ personal data is identified in Article 1.1 of these General Terms and Conditions of Use.

AGENZ SARL, acting as data controller, whose registered office is located at 46 Boulevard Zerktouni, Casablanca, and referenced in Article 1.1 of these Terms, acknowledges the trust you place in it when you provide your personal information for the use of its Services.

AGENZ SARL attaches the utmost importance to the confidentiality and security of such information. In this respect, AGENZ SARL undertakes to comply with this Privacy Policy, which you accept upon using its Services.

6.1.2 Nature and Purpose of Personal Data

By using our portal or our Services, the User provides AGENZ with certain information or data, some of which may identify him or her directly or indirectly.
The data collected arise from:
the voluntary provision of information by Users wishing to access or use a Service requiring such processing;
the digital traces left by browsing the Site; or
the transmission of data between partners collected in such manner.

Such data may be used for the management of operations carried out on the Site and for AGENZ’s and/or its partners’ commercial activities.

These data are also used:
for the creation and management of User accounts;
for the provision of AGENZ’s services, particularly those relating to real-estate price information and property valuation;
for maintaining the relationship with Users;
for forwarding Users’ information requests to real-estate professionals present on the Site; and
for enabling Users to be connected with a real-estate professional present on the Site, including by means of a call service, in order to respond as effectively as possible to the User’s real-estate project.

Personal data collected by AGENZ may include the following:
first name and surname,
email address,
telephone number,
postal address,
Internet Protocol (IP) address,
User identifier,
a copy of exchanges between AGENZ and the User, and
information concerning browsing activity, real-estate projects, valuations, and other related actions.

Tracking tools on the Site and Applications:
AGENZ uses the following tools — Google Analytics (1600 Amphitheatre Parkway, Mountain View, CA 94043, USA) — for quantitative and qualitative traffic analysis.

If you contact us by telephone, conversations may be recorded.

Targeted Advertising, Emails, and SMS

AGENZ may use the data you provide for marketing and promotional purposes (for instance, to send newsletters, event invitations, or other communications likely to interest you, and to display targeted advertisements on social networks or third-party sites).

AGENZ may contact you by email, SMS, and/or telephone to propose a refinement of your online valuation through an in-person appraisal by partner real-estate professionals. AGENZ may also contact you to follow up on any connection that may have been established with a real-estate professional.

6.1.3 Retention Period of Data

Personal data shall be deleted or archived after a period of five (5) years following your last use of our portal or services.
Such data may thereafter be retained for an additional period of ten (10) years in an archival database, with restricted access, in order to comply with AGENZ’s legal and regulatory obligations.

6.1.4 Data Recipients

AGENZ may also share information about you, including personal data, with its partner real-estate professionals within the framework defined by this Policy, as well as with all entities within the Group.

AGENZ shall share your data with the third parties mentioned in this clause only in the following circumstances:

when engaging a service provider in connection with the performance of any contract concluded between you and AGENZ or to provide or improve our services;

in the context of assisting with the sale of your property, where AGENZ may, in order to provide the requested services, transmit to the real-estate professionals you have selected and to other participants in your transaction (notaries, surveyors, etc.) certain personal data such as your name, surname, place and date of birth, property photographs, telephone number, email address, and valuations;

where you have expressly consented, to AGENZ’s business partners so that they may send you promotional offers;

where AGENZ is under a legal obligation to do so, or where AGENZ believes in good faith that such disclosure is necessary to respond to any claim against it, to comply with a judicial request, or to safeguard the rights, property, and safety of AGENZ, its members, or any third party in general.

Content created by Users on the Site (such as comments, reviews, and ratings) may be transmitted to the real-estate professional concerned.

In accordance with applicable law and with your consent where required, AGENZ may aggregate data concerning you which it receives or transmits to its commercial partners, including all or part of your personal data and information collected via cookies. Such aggregated data shall be used solely for the purposes described above.

6.2. User Rights

You are entitled to exercise the following rights:

the right of access — to obtain a copy of your personal data held by AGENZ;

the right to erasure (“right to be forgotten”) — to request the deletion of your personal data held by AGENZ, except where retention is required by law or justified by a legitimate interest;

the right to rectification — to request the correction of inaccurate or outdated personal data concerning you;

the right to object — to object at any time, on grounds relating to your particular situation, to the processing of your personal data for direct-marketing purposes, unless AGENZ demonstrates compelling legitimate grounds overriding your interests, rights, and freedoms, or for the establishment, exercise, or defence of legal claims;

the right to restriction — to limit processing of your personal data in the following cases:
where you exercise your right to rectification, for the time necessary for AGENZ to verify accuracy;
where you exercise your right to object, during verification of whether AGENZ’s legitimate grounds prevail;
where processing is unlawful and you prefer restriction of use rather than erasure; or
where data must be retained for the establishment, exercise, or defence of legal claims;

the right to data portability — to receive the personal data that you have provided to AGENZ or that have been generated or observed through your activity, in a structured, commonly used, and machine-readable format, and to transmit those data to another controller.

You also have the right to define instructions regarding the fate of your personal data after your death.

In the event of a dispute between AGENZ and the User concerning data processing, the User may lodge a complaint with AGENZ by contacting the Company’s Data Protection Officer via email at contact@agenz.ma.

If no satisfactory resolution is reached, or the dispute persists, the User may file a complaint with the CNDP (Commission Nationale de Contrôle de la Protection des Données à Caractère Personnel).

6.3 Processing of Technical Data – Cookies

Agenz and/or its partners also proceed with the automatic recording of certain technical data. 6.4. Platform Service Fees

As remuneration for its intermediation services, the service fees listed below shall be due to the Platform in the event of the completion of a purchase or lease transaction concerning a property under mandate with AGENZ.

Properties under mandate are displayed on the Platform with the tags “Exclusively AGENZ” or “Verified AGENZ.

Apartments & Villas:
Sale: 2.5 % (excl. tax) of the property’s sale price, payable by the Seller.
Purchase: 2.5 % (excl. tax) of the property’s sale price, payable by the Buyer.
Lease listing: one month’s rent, payable by the Lessor.
Lease: one month’s rent, payable by the Lessee.

For properties not under mandate with AGENZ and published on the Platform by partner agencies through a free professional account, AGENZ shall act solely as intermediary on behalf of the purchaser, in accordance with the intermediation procedures described above.

6.5. Map of Sold Properties: Processing of Data from the Tax Administration Relating to Sold Properties

The processing of data relating to the map of Sold Properties entails the performance of processing of personal data. The controller of the personal data of Users is referred to in Article 1.1 of these General Terms and Conditions of Use.

Individual information of persons. The data relating to transactions originate from information that the tax administration makes freely available to the public under Law No. 31-13 on the right of public access to information. These data relate to sales, adjudications, expropriations, and exchanges of real estate properties published in the land registry during the last five years, derived from computerized processes relating to land publicity and the literal documentation of the cadastre.

For each transaction, the information elements made available are the following: the date and nature of the transaction, the price, the address including street number, repetition index, type, code and name of the street, postal code, and name of the municipality, the cadastral references including the code of the municipality and department, the prefix and code of the cadastral section, the plan number of the location of the properties, the volume number, as well as, if the property subject to the transaction is part of a co-ownership, the number of lots and the lot number within the limit of five lots per transaction, and the description of the property insofar as it has been declared to the administration, including surface area provided under the local type code, type of premises, number of main rooms, surface of the land, and, for undeveloped lands, the surface area thereof.

This information may concern both sellers (or assignors) and purchasers (or assignees). Agenz publishes only the data relating to sales (referred to in this article as “Sold Properties”).

Legal basis and purpose. This processing is justified by a legitimate interest consisting in the development of transparency of land and real estate markets through the provision of a service facilitating access to knowledge of property prices for any interested person.

Duration of data retention. Personal data are not collected or are automatically deleted. The data may also be retained for an additional period of ten years thereafter in an archived database, with restricted access, for statistical and research purposes relating to prices.

Recipients of data. These data are made available to the public through our Site, including our Applications. Nevertheless, measures are taken to prevent the re-identification of the persons concerned, as well as indexing by external online search engines. We may share these personal data with other parties such as real estate agencies, real estate agents, clients, affiliated sites or applications, and service providers with whom we have entered into contracts. We require all such third parties to respect the security of your personal data and to process them in accordance with the law. We do not authorize our third-party service providers to use your personal data for their own purposes, and we only permit them to process your personal data for specific purposes and in accordance with our instructions.

Rights of data subjects. Any person concerned by the transaction published on the Site has the right of access, which is the right to receive a copy of his or her personal data held by us; the right to erasure or the right to be forgotten, which is the right to have his or her personal data held by Agenz erased (except where the law requires the retention of such data or where Agenz has a legitimate reason to retain them); the right to rectification, which is the right to amend personal data held by Agenz concerning him or her that are inaccurate or obsolete; the right to object, under which one may at any time object, for reasons relating to his or her particular situation, to the processing of his or her personal data for purposes of direct marketing, except for legitimate and compelling reasons for processing that prevail over the interests and rights and freedoms of the data subject or for the establishment, exercise, or defense of legal claims; and the right to restriction, which is the right to restrict processing performed on his or her personal data in the following cases: in the event of the exercise of the right to rectification, the restriction of processing may be required during the period allowing Agenz to verify its accuracy; in the event of the exercise of the right to object, during the verification period relating to whether the legitimate reasons pursued by Agenz prevail over those of the data subject; in the case of unlawful processing of his or her personal data, the data subject may require restriction of their use instead of erasure; and for personal data subject to processing intended for erasure but which are still necessary for the establishment, exercise, or defense of legal claims.

Exercise of rights by data subjects. The right to object to the publication of data concerning a property, as well as the right to erasure of data concerning a property, are exercised through the secure area provided for this purpose, accessible via the “Report a problem” button located under the description of the sold property and allowing the upload of proof of identity and any document legally linking the person concerned to the property in question (deed of sale, adjudication judgment, etc.) in order to exercise his or her rights.

In the event that the User exercises his or her right to object, he or she may request the deletion of all data concerning him or her from the Agenz database by a return email confirming that the objection has been taken into account. The exercise of other rights is carried out by contacting Agenz at the following address: contact@agenz.ma. For this purpose, you may be asked to provide proof of identity and any document legally linking the person concerned to the property concerned (deed of sale, adjudication judgment, etc.). Where applicable, the person concerned shall take care to mask any superfluous information on the documents provided: only the surname, first name, address of the property, as well as the legal nature and date of the act must appear.

In the event of a dispute between Agenz and the person concerned regarding data processing, the User may submit his or her complaint to Agenz in accordance with Article 6.3 of these General Terms and Conditions.

8. Liability

Agenz uses its best efforts to ensure the proper functioning of the Site and the Services appearing thereon, within the limits of liability set out in these General Conditions.

8.1. Liability of Partners

The Services presented by the Partners are under their sole responsibility. Consequently, Agenz is released from any liability for the content published and/or the services offered by the Partners through this Site.

8.2. Limitations of Liability

Considering, in particular, the technical uncertainties related to the decentralized operation of the Internet network, Agenz provides no guarantee of continuity of service or absence of errors on the Site. Agenz reserves the right, in this regard, to suspend access to the Site, in whole or in part, in order to carry out, without prior notice, any operation of correction, updating, or maintenance. Agenz can in no case be held liable for any harm and/or loss that may result for the User. In any event, Agenz shall not be held liable for indirect damages, including any commercial, moral, or financial loss, including any loss of profits, arising out of, caused by, or based on the use of the Site.

9. Applicable Law

The Site and these General Conditions are governed by Moroccan law.

GENERAL TERMS AND CONDITIONS OF SALE

1. PURPOSE

These General Terms and Conditions govern the terms of use of the professional account referred to as “COMPTE PRO,” as well as the ESSENTIEL and PREMIUM subscriptions on the platform www.agenz.ma. The content of the services offered to the Partner Agency is defined in the specific conditions above.

2. COMPTE PRO

Any Partner Real Estate Agency must, prior to any use of the Services, create a free COMPTE PRO account allowing the establishment of a dedicated showcase on the Site. This account notably offers the possibility of publishing an unlimited number of real estate listings on the platform.

Within the framework of the use of the free COMPTE PRO, it is expressly agreed that the contact number displayed on the published listings shall be that of the real estate agent IA ZAINA, acting on behalf of AGENZ. Consequently, any contact or communication generated from a listing published through the COMPTE PRO shall be considered, in accordance with Article 6.4 of these General Terms and Conditions of Use, as a buyer belonging to AGENZ within the framework of an inter-agency operation.

AGENZ reserves the right to modify, at any time and in accordance with the commercial offer in force, the nature and scope of the free services accessible through the COMPTE PRO. It may also, at its sole discretion, suspend or delete a COMPTE PRO in the event of a breach of these General Terms and Conditions of Use, and/or remove any showcase published on the Site.

Any Partner Agency holding a COMPTE PRO retains the possibility to subscribe at any time to an ESSENTIEL or PREMIUM subscription. It is expressly stated that the content, functionalities, and advantages included in these subscriptions are those presented by the AGENZ commercial representative at the time of subscription and may vary depending on the commercial offer in force. The services will be updated and made accessible as soon as the said subscription is validated, in accordance with the provisions of Article 4 below.

3. PRICE OF ESSENTIEL AND PREMIUM SUBSCRIPTIONS

The chosen subscription is invoiced in accordance with the applicable rates mentioned in the specific contractual conditions. The price of the subscription must be paid in full by the Partner Agency upon subscription. The Partner Agency may also sign a standing transfer authorization to spread the payments, which will then be due monthly, on the first day of each month.

Any delay in payment exceeding thirty days may give rise to a penalty of ten percent per month on the remaining amounts due, as well as the immediate suspension of the services provided.

4. OPENING OF ACCESS TO THE SERVICE

The administration interface is accessible immediately after the creation of the COMPTE PRO by the Partner Agency. The Partner Agency’s showcase will be visible on the Site once its content has been validated by AGENZ. This validation aims to verify the quality and accuracy of the content entered.

In the case of a subscription to an ESSENTIEL or PREMIUM plan, the services shall become accessible upon receipt of the corresponding payment by AGENZ.

5. VISIBILITY

AGENZ undertakes to provide visibility to every Partner Agency on the key pages of the Site, including a digital showcase with a dedicated URL page containing a description of the agency, a profile photo, a cover photo, a contact form, the agency’s telephone number, and email address. The Partner Agency’s recent sales, a record for each sold property containing a contact form and a link to the agency’s showcase, as well as the agency’s sales or rental listings in the dedicated section of the Site, shall also be visible.

The Partner Real Estate Agency must include quality content with commercial intent on its showcase. AGENZ reserves the right to remove any content deemed inappropriate or comparable to misleading advertising.

6. PUBLICATION POLICY FOR SOLD PROPERTIES

A property is considered a sold property on the AGENZ website from the moment the preliminary sale agreement or the promise of sale has been signed. A sold-property creation form may only be used to declare one sold property.

A sold property shall be visible on the AGENZ platform if it is recent, meaning within the last twenty-four months. It is important for the Partner Agency to add a property to its interface as soon as it has been sold. Sold properties constitute the foundation of the AGENZ website’s visibility algorithm. This algorithm recommends relevant real estate professionals to private sellers on various pages of the site, such as the price page and the estimation results page. The higher the number of sold properties of the Partner Agency, the greater the chances of visibility on these pages and the higher the relevance of its sold properties to private sellers’ searches.

Each photograph must represent only the sold property. Logos are not authorized in the spaces reserved for photographs. The addition of a logo on a photograph is not authorized. Banners, comments, telephone numbers, URLs, or any other elements are not authorized on photographs. The photographs must not feature any physical person.

In the event of non-compliance with the conditions mentioned above, AGENZ reserves the right to remove or suspend the sold property from the Site and from the Partner Agency’s Professional Space at any time, without notice and without compensation, as soon as it is likely to be a duplicate or a false sold property, which the Partner Real Estate Agency expressly accepts.

7. PUBLICATION POLICY FOR LISTINGS

For each sale or rental offer, AGENZ encourages the Partner Agency to add High-Definition photographs of the property, in sufficient number to provide a complete view of the characteristics, qualities, and possible defects of the property presented, as this is one of the main criteria of attractiveness for private individuals when previewing a property. A listing that includes several high-quality photographs will be viewed much more frequently by internet users than a property with an insufficient number or poor-quality photographs.

Each photograph must represent only the property presented. Logos are not authorized in the spaces reserved for photographs. The addition of a logo on a photograph is not authorized. Banners, comments, telephone numbers, URLs, or any other elements are not authorized on photographs. The photographs must not feature any physical person.

In the event of non-compliance with the above conditions, AGENZ reserves the right to remove or suspend the listing from the Site and from the Partner Real Estate Agency’s Professional Space at any time, without notice and without compensation. AGENZ also reserves the right to delete a listing as soon as it appears to be a duplicate or a false listing, misleading advertising, containing inaccurate or imprecise location information, or more generally false information, which the Partner Agency accepts.

Any listing published on the website agenz.ma is valid for a maximum period of one year from the date of its last update (hereinafter referred to as “Refresh”). At the end of this period, the listing shall be automatically deactivated, may no longer be modified by its author, and shall cease to be published on the Site.

The User acknowledges that it is his or her responsibility to proceed, where applicable, with the regular updating of his or her listing in order to extend its publication duration under the conditions set out herein.

8. REAL ESTATE PROJECTS DETECTED ON AGENZ.MA

AGENZ also reserves the right to delete a listing as soon as it appears to be a duplicate or a false listing, misleading advertising, containing inaccurate or imprecise location information, or more generally false information, which the Partner Agency accepts.

9. DURATION OF SUBSCRIPTIONS AND TERMINATION

The ESSENTIEL and PREMIUM Subscriptions are entered into for a period of one year from the date of signature. The COMPTE PRO may be deleted at any time at the sole discretion of either of the Parties. The contract, regardless of its duration, is a tacitly renewable contract and shall therefore automatically renew on the expiry date of this agreement. The Party wishing to terminate this agreement must first send a registered letter with acknowledgment of receipt to notify its co-contractor of its intention to terminate this agreement. The Parties hereby waive any claim to compensation in the event of termination of the contract pursuant to this article.

10. USE OF DATA

AGENZ undertakes to use the data of sold properties and listings provided by the Partner Agency only within the scope of its valuation activity or to provide visibility to the Partner Agency. AGENZ undertakes not to disclose them to any third party or commercial partner. In the case of personal data inserted in the Partner Agency’s showcase, you may contact contact@agenz.ma to exercise your rights of access, rectification, and objection in accordance with the provisions of Law 09-08.

11. PERFORMANCE IN GOOD FAITH

The Parties undertake to perform this agreement in good faith and, to this end, agree to inform the other Party whenever, in the course of performing this agreement, either of them encounters a difficulty or a dispute.

12. CONFIDENTIALITY

The Parties guarantee the confidentiality of the information and documents communicated to them, by any means or medium whatsoever, within the framework of this contract. The Parties also guarantee the confidentiality of the data collected from clients with regard to unauthorized third parties.
