Access and use of the agenz site accessible at the address www.agenz.ma and the mobile applications and services offered there are subject to compliance with these general conditions. The applicable additional contractual conditions are freely consultable before any subscription or use of the Services. These conditions are in force as of 10/27/2020.

1. Edition and hosting of the Site

2. Definitions


In the context of this document, words beginning with a capital letter have the following definitions: “Announcement”: Real estate advertisement for sale or rental added to the Site by partner real estate professionals. “Properties sold”: Information on the real estate sold by the Real Estate Professional as an intermediary. 3. Site Content

3.1 Site Content and Services in General

The purpose of the Site is to present the services and advantages offered by agenz and its respective partners in the context of agenz's service offerings, as described on the Site's pages. The Site is a platform that offers several real estate information and property sales assistance services to individual Users. The Site allows Users to estimate their primary residence online, explore a price map, or view real estate purchase or rental listings. It also facilitates the connection of Users with real estate Professionals by listing partner real estate Professionals. Additionally, the "Pro Space" section of the site presents tools and advisory features, decision-making assistance, and property management services offered to real estate professionals. These features and tools, reserved for professionals, are accessible through a dedicated professional area or via APIs. They have been fully developed by agenz and are the exclusive property of the company. The services offered on the Site are subject to constant evolution. agenz reserves the right to add, delete, or modify all or part of the Site's spaces that it publishes or the services it offers, without prejudice to any previously agreed-upon conditions and without prior notice. agenz strives to verify and validate the information and data it provides for consultation on the Site. However, agenz assumes no obligation regarding the accuracy of the information and data or the uses made of such information and data. Therefore, agenz does not provide any express or implied warranty regarding the content of the Site or the results of the estimates. In particular, the information provided about the services is for indicative purposes only and should not be considered as contractual or firm offers of products or services, as such offers are subject to the acceptance of additional contractual conditions. The User is informed and acknowledges that the Site's activity is limited to facilitating access to real estate information, real estate procedures and projects, as well as connecting Users who request it with real estate Professionals. 3.2 Listing of Real Estate Agencies on the Site

agenz engages in listing activities by allowing Users to access a sample of real estate Professionals. The listing allows Users to access a sample of real estate Professionals based on criteria chosen by the User, such as the dynamism of the Partners. It also allows Users looking for a property to access a sample of similar properties that real estate Professionals have sold and chosen to publish near the entered address. The real estate Professionals listed on the Site are partners of agenz. They have subscribed to a paid visibility offer that allows them to create a Showcase on the platform. In order to obtain more features and/or increase the displayed information, real estate Professionals may choose suitable services for a fee. agenz does not hold any equity participation in the real estate Professionals whose Showcase and services are compared on the Site, and none of these Partners holds an equity stake in agenz. By subscribing to the various services offered by agenz, real estate Professionals agree to comply with the General Sales Conditions (GSC) and/or the General Professional Use Conditions (GPUC). Professionals who do not comply with the applicable rules may be delisted by agenz. They will no longer appear in the various listings. Delisting may be temporary and last only during the period of non-compliance with the established provisions.

3.3 Notification and Removal of Illegal Content

agenz informs you of the possibility to file a complaint regarding elements or content on the Site. Therefore, if you believe that elements or content on the Site are illegal and/or infringe on your intellectual or industrial property rights, you must send a notification to agenz addressed to: agenz, Legal Department, 46 Boulevard Zerktouni, Casablanca, or by email to contact@agenz.ma, containing all the relevant evidence of ownership of the rights if applicable. Then, after verification and if the request is justified, agenz will make reasonable efforts to promptly remove the illegal content. It is specified that agenz acts as an intermediary in providing its services to the User. In this capacity, agenz cannot be held criminally liable for information stored on the Site without having actual knowledge of illegal activity or information, or if, upon gaining knowledge of such facts, the disputed information is promptly removed or access to it is made impossible.

3.4 Disclaimer

agenz aims to provide individuals with various useful information and various partners for the sale or acquisition of their real estate property, without exhaustiveness. However, due to the lack of precise knowledge about the specific real estate project and the inability to know all of our partners, it is the responsibility of the individual to perform any necessary or appropriate verifications before contacting any of the real estate Professionals listed on our Site. agenz cannot guarantee the accuracy of the information published on the virtual Showcase of real estate Professionals. Therefore, any connection with a real estate Professional, a real estate developer, or any third party through our Site is done at your own risk without any guarantee from us regarding the satisfaction of the services offered.

4. Access and Security

Subscribing to, accessing, or using certain Services of the Site, including member areas, may require the opening of a User account, involving the provision of an identifier and the selection of a password, in accordance with the recommendations of the CNDP on this matter. The password is personal and confidential, and the User is solely responsible for it. The User agrees not to disclose it to third parties and to take all necessary precautions to prevent third parties from accessing it. The User agrees to promptly notify agenz in case of loss or theft of their password. In the absence of such notification, and unless proven otherwise, any connection or transmission of orders or data made using the password will be deemed to come from the User and be under their exclusive responsibility. The User can request the cancellation of their account at any time by sending an email to contact@agenz.ma. This article is subject to any provisions of additional contractual conditions, particularly those applicable to minor Users.

5. Intellectual property – Parasitism – prohibition of use of data – Protection of the Site and databases

Please note: all data and information present or accessible free of charge on the Site are intended for individuals, natural persons, directly connected to the Site for their strictly personal use. Any other use is prohibited and, in particular, any use of a professional or commercial nature and any use beyond the needs of an average User are prohibited. 6. Privacy Policy

Protection of personal data

As a preliminary point, it is reminded here that the windows of Real Estate Professionals, the presentation of their teams where applicable, their advertisements and Properties sold are published under their own responsibility. In application of Law No. 09-08 relating to the protection of individuals with regard to the processing of personal data and the Internal Regulations of the CNDP, agenz informs the User of its commitment to respect confidentiality, the integrity and security of the data that the User will be required to communicate to it through the Site. Any personal data that identifies you directly (notably your name, first name, postal, electronic, telephone contact details) or indirectly (notably your computer traces left by your browsing on the Site) is considered confidential data and is treated as such.

6.1. Processing of data relating to the Services

Personal data is deleted or archived five years after your last use of our portal or our services. This data may also be kept for a period of 10 years thereafter in the archive database, under restricted access, in order to comply with the legal and regulatory obligations of agenz.

agenz may also share information about you, in particular personal data, with real estate professionals who are partners of agenz within the framework provided for by this policy but also with all entities of the Group. agenz only shares your data with the third parties mentioned in this article in the following cases: • When we use a service provider as part of the execution of any contract concluded between you and us or in order to provide or improve our services ; • As part of supporting the sale of your property, agenz is required, in order to provide the requested services, to be transmitted to the real estate professionals that you have chosen as well as to those involved in your sale (notary, diagnosticians, etc.) a certain number of your personal data, such as your first and last name, place and date of birth, photograph of your property, mobile phone number or email address, estimates; • When you have expressly accepted it, to agenz's commercial partners, to receive promotional offers from them; • When agenz has a legal obligation to do so or if agenz believes in good faith that it is necessary to respond to any claim against it, comply with any legal request, or in order to secure rights, property and safety of agenz, its members and more generally any third party. 6.4 Service fees for the agenz Platform

As remuneration for its intermediation services, the service fees listed in the table below will be due to the Platform in the event of conclusion of a purchase or rental transaction of a property under mandate with AGENZ. the assets under mandate are presented on the platform with the TAG “Exclu AGENZ” on the platform
Apartments & Villas:

  • Sale : 2.5% excluding tax of the sale price of the Real Estate, payable by the Seller
  • Purchase : 2.5% excluding tax of the sale price of the Real Estate, payable by the Buyer
  • Rental : 1 month's rent payable by the Lessor
  • Rental : 1 month’s rent payable by the Tenant

6.5. Map of Goods sold: Processing of data from the tax administration relating to Goods sold

The processing of data relating to the card of the Goods sold involves the processing of personal data. The person responsible for processing Users’ personal data is referred to in article 1.1. of these General Conditions of Use. Individual information of people The data relating to transfers comes from information that the tax administration makes available free of charge to the public under Law 31-13 relating to free public access to information These data relate to sales, auctions , expropriations and exchanges of real estate published in the real estate file over the last five years, resulting from computerized processing relating to land registration and literal cadastre documentation. For each transfer, the information made available is as follows: 1. Date and nature of the transfer; 2. Price; 3. Address: street number, repetition index, type, code and name of the road, postal code and name of the municipality; 4. Cadastral references: code of the municipality and department, prefix and code of the cadastral section, plan number of the location of the property, the volume number as well as, if the property subject to the transfer is part of a co-ownership, the number of lots and the lot number within the limit of five lots per transfer; 5. Description of the property once it has been declared to the administration: surface area provided in the code type of premises, type of premises, number of main rooms, surface area of the land, and, for undeveloped land. This information may concern both sellers (or transferors) and buyers (or transferees). agenz only distributes data relating to sales (referred to in this article as “Goods sold”). Legal basis and purpose This processing is justified by a legitimate interest in developing transparency in land and real estate markets by providing a service facilitating access to knowledge of real estate prices by any interested person. Data retention period Personal data is not collected or is automatically deleted. The data may be kept for an additional period of 10 years thereafter in the archive database, under restricted access, for the purpose of statistics and research on prices. Recipients of the data This data is distributed to the public through our Site, including our Applications. However, measures are taken to ensure that the persons concerned are not re-identified or indexed on external online search engines. We may share this personal data with other parties, such as real estate agencies, real estate agents, clients, affiliated sites or applications and service providers with whom we have contracted. We require all these third parties to respect the security of your personal data and to treat it in accordance with the law. We do not allow our third party service providers to use your personal data for their own purposes and we only allow them to process your personal data for specific purposes and in accordance with our instructions. The Services presented by the Partners are under their sole responsibility. As a result of which agenz is released from any liability due to the content published and/or the services offered by partners through this Site.

8.2. Limitations of Liability

1. OBJECT


These general conditions govern the conditions of use of the professional account called PRO ACCOUNT, as well as the ESSENTIAL and PREMIUM subscriptions on the platform www.agenz.ma The content of the services offered to the Partner Agency is defined in the specific conditions below. above.

2. PRO ACCOUNT


The partner real estate agency must first create a free PRO ACCOUNT allowing the creation of a showcase on the site. Agenz may update, according to the current commercial offer, the services offered and accessible free of charge by the PRO ACCOUNT. Agenz reserves the right, at its sole discretion, to suspend a PRO ACCOUNT that does not comply with the Conditions of Use, and/or to delete a showcase from the site. Any partner agency holding a PRO ACCOUNT can subscribe to an ESSENTIAL or PREMIUM subscription at any time, the services will be updated upon subscription (see Article 4).

3.PRICE OF ESSENTIAL AND PREMIUM SUBSCRIPTIONS


The chosen subscription is invoiced in accordance with the current rates mentioned in the Special Conditions in the contracts. The price of the subscription must be paid in full by the Partner Agency upon subscription. The Partner Agency can also sign an automatic transfer request to spread out the payments, which will then be due monthly, on the 1st of each month. Any late payment of more than 30 days may result in a penalty of 10% per month on the remaining amounts due, as well as immediate suspension of the services provided.


4. OPENING OF ACCESS TO THE SERVICE


The administration interface is accessible immediately after the creation of the PRO ACCOUNT by the Partner Agency. The partner agency's showcase will be visible on the site as soon as its content is validated by Agenz. The purpose of this validation is to verify the quality and veracity of the content inserted. If you subscribe to an ESSENTIAL or PREMIUM subscription, the services will be accessible upon receipt of the corresponding payment by Agenz.

5. VISIBILITY


Agenz is committed to giving visibility to any partner agency on the key pages of the site, with;

- A digital showcase with its own URL page including a description of the agency, a profile photo, a cover photo, a contact form, the telephone number and the email address of the agency.
- Recent sales from the partner agency
- A sheet for each property sold with a contact form and a link to the agency's window.
- Rental sales announcements from the agency on the dedicated section of the site.
The partner real estate agency must integrate quality, commercially oriented content into its showcase. Agenz reserves the right to delete any content deemed inappropriate or comparable to false advertising.

6. PUBLICATION CHARTER FOR GOODS SOLD


A property is considered to be sold on the Agenz website from the moment the compromise or promise of sale has been signed. A sold item creation form can only allow one item to be declared sold. A sold property will be visible on the Agenz platform if it is recent (last 24 months). It is important for the Partner Agency to add a property to its interface as soon as it has been sold. Indeed, the goods sold are the basis of the visibility algorithm of the Agenz site. This algorithm recommends relevant real estate professionals to individual sellers on the different pages of the site (price page, estimate result page). The higher the number of goods sold the Partner Agency has, the more likely it is to be visible on these pages, and the more likely it is that its sold goods will be relevant to the search of the individual seller. Any photograph must represent only the property sold:

- Logos are not allowed in the locations provided for photographs
- Adding a logo to a photograph is not permitted
- Banners, comments, phone numbers, URLs, or any other elements are not allowed on photos
- Photos must not include a natural person
In the event of non-compliance with the conditions mentioned above, Agenz reserves the right to withdraw or suspend from the site a good sold within the Partner Agency's Professional Space at any time, without notice, without compensation, therefore that it could be a duplicate or a false property sold, which the partner real estate agency accepts.

7. ADS PUBLICATION CHARTER


For each sale or rental offer, Agenz encourages the partner agency to add High Definition photos of the property, in sufficient numbers to offer a complete view of the characteristics, qualities and possible defects of the property presented, because it is one of the first criteria of attractiveness for the individual, when previewing the property: an offer which includes several good quality photos will be consulted much more by Internet users, in comparison to a property with an insufficient number of photos or mediocre quality. Furthermore: Any photograph must represent only the property presented.

8. REAL ESTATE PROJECTS DETECTED ON AGENZ.MA

9. DURATION OF SUBSCRIPTIONS AND TERMINATION


Essential and Premium Subscriptions are concluded for a period of one year from the date of signature. The Pro Account may be deleted at any time at the sole discretion of either party. The contract, regardless of its duration, is a tacit renewal contract, and will therefore be automatically renewed on the expiry date of this contract. The Party wishing to terminate this agreement must first send a letter with acknowledgment of receipt to notify its co-contractor of its desire to terminate this agreement. From now on, the Parties waive any compensation in the event of termination of the contract in application of this article.

10. USE OF DATA


Agenz undertakes to only use the data on goods sold and advertisements communicated by the Partner Agency as part of its valuation activity or to give visibility to the Partner Agency. Agenz undertakes not to communicate them to any third party or commercial partner. In the case of personal data inserted in the Partner Agency window, you can contact contact@agenz.ma to exercise your rights of access, rectification and opposition in accordance with the provisions of law 09-08.

11. EXECUTION IN GOOD FAITH


The Parties undertake to execute this agreement in good faith, as such they undertake to inform the other Party when, in the context of the execution of this agreement, one or the other of them is faced with a difficulty or a dispute.

12. CONFIDENTIALITY


The Parties guarantee the confidentiality of the information and documents communicated to them, by any means or medium whatsoever, within the framework of this contract. The Parties guarantee confidentiality of data collected from customers with regard to unauthorized third parties.
